Document: Reseller Policy
Domain: alivehoster.com & subdomain
Operator: ALIVES Co. (d/b/a Alive Hoster)
This Reseller Hosting Policy & Agreement (“Reseller Policy”) establishes the binding operational, technical, legal, and support boundaries governing all subscribers who purchase, manage, or provision Reseller Hosting accounts powered by ALIVES Co. (d/b/a Alive Hoster). This document forms an integral, legally binding addendum to the Alive Hoster Master Terms of Service. Resellers operate as independent commercial hosting entities and are solely responsible for the conduct, content, billing, and technical support of their downstream end-users.
1. RESELLER PROGRAM OVERVIEW & INDEPENDENT CONTRACTOR STATUS
Alive Hoster provisions multi-tenant reseller hosting environments across enterprise virtualization clusters utilizing leading web hosting control panel architectures, including cPanel/WHM, DirectAdmin, Webuzo, and Plesk. Resellers receive allocated disk space, monthly bandwidth pools, and discrete account provisioning limits allowing them to create and manage standalone customer hosting packages.
Independent Commercial Relationship: The Reseller and Alive Hoster are independent contractors. Nothing in this Agreement shall be construed as creating a joint venture, partnership, agency, fiduciary relationship, or franchise. The Reseller possesses zero legal authority to bind, contract on behalf of, or represent Alive Hoster.
2. 100% WHITE-LABEL PERMISSION, OPTIONAL PARTNER BADGE & INTELLECTUAL PROPERTY BOUNDARIES
Alive Hoster respects the entrepreneurial autonomy of our reseller partners and provides complete, unbranded, white-label architecture alongside optional, regulated co-marketing authorization:
- Anonymous Server Hostnames & Private Nameservers: Resellers are granted the right to configure custom, vanity private nameservers (e.g.,
ns1.yourbrand.comandns2.yourbrand.com) and utilize neutral server hostnames that contain zero direct branding references to Alive Hoster or ALIVES Co.; - White-Label Control Panel Theming: Resellers may upload custom brand logos, customized webmail URLs, and private client portal endpoints within their allocated control panel administration interface;
- Optional Authorized “Partner Badge” Display (Purely Marketing Partnership): Resellers in good financial and technical standing are granted a revocable, non-exclusive, non-transferable license to display an official Alive Hoster “Infrastructure Partner,” “Technology Partner,” or “Powered by Alive Hoster” digital partner badge on their commercial website, sales collateral, or promotional material. Any such partnership is strictly and exclusively a marketing and promotional affiliation. Under no circumstances does the display of this badge, or any partner affiliation, establish a legal joint venture, corporate agency, master-servant relation, or formal fiduciary partnership;
- Absolute Prohibition on Contracting in Alive Hoster’s Name: Resellers possess zero legal authority to execute contracts, enter into legal agreements, make commercial promises, issue service warranties, or incur binding obligations on behalf of Alive Hoster or ALIVES Co. Any contract, terms of service, billing agreement, or SLA executed between a Reseller and their downstream customer is strictly and exclusively between those two parties. The Reseller shall make it unambiguously clear in their client agreements that their business operates as an independent commercial entity;
- Strict Prohibition on Corporate Misrepresentation: Resellers may not hold themselves out as an “authorized corporate subsidiary,” “regional corporate division,” “branch office,” or “legal agent” of Alive Hoster or ALIVES Co. Resellers are strictly prohibited from copying, scraping, or reproducing Alive Hoster copyrighted website content, legal policies, or marketing copy on their own digital platforms without documented prior written consent.
3. MANDATORY TIER-1 END-USER SUPPORT RESPONSIBILITY
Alive Hoster maintains an infrastructure-to-reseller contractual model exclusively. Alive Hoster does not provide technical support, customer service, or billing assistance to the Reseller’s downstream customers or end-users.
Strict Tier-1 Support Obligation:
The Reseller is solely and exclusively responsible for delivering all Tier-1 customer support, including billing inquiries, password resets, DNS assistance, CMS installations, email setup, and general troubleshooting directly to their end-users.
- Prohibition on Support Redirection: Resellers shall not direct their downstream customers to contact Alive Hoster technical support, our live chat, or our ticket desk. Any third-party ticket or live chat initiated by an unrecognized end-user will be immediately closed without technical disclosure to preserve reseller white-label privacy;
- Tier-2 / Upstream Escalation: If a technical issue is verified by the Reseller to originate from hypervisor failure, physical hardware impairment, core network packet loss, or server-wide control panel licensing anomalies, the Reseller must open a support ticket from their authenticated Client Portal profile (
portal.alivehoster.com) providing complete diagnostic telemetry.
4. STRICT RESELLER LIABILITY FOR DOWNSTREAM SUB-ACCOUNT ABUSE
While the Reseller operates independently with their own customer base, all provisioned sub-accounts reside physically upon Alive Hoster hypervisors and transit our routed network infrastructure. Consequently, the Reseller bears full, strict, non-delegable legal and financial responsibility for all activities, scripts, databases, and hosted content executed under their master reseller container.
Joint and Several Abuse Liability:
Any violation of our Acceptable Use & Abuse Policy (AUP) committed by a Reseller’s downstream customer constitutes a direct, material breach of contract by the Reseller themselves.
- Zero-Tolerance Infractions: If a downstream sub-account is discovered hosting Child Sexual Abuse Material (CSAM), operating active Command & Control (C2) botnets, distributing ransomware, executing outbound DDoS attacks, or running cryptocurrency mining binaries, Alive Hoster will instantly terminate the offending sub-container. In severe cases involving pervasive negligence or compromised reseller WHM credentials, the master reseller account will be immediately suspended pending investigation;
- Spam & Blacklisting Responsibility: If a sub-account engages in outbound spamming or dirtying of assigned IP addresses, the Reseller is liable for the administrative IP delisting fees ($25.00–$50.00 USD per IP) established in our AUP;
- Abuse Remediation Cooperation: When Alive Hoster Abuse Operations dispatches an abuse notification regarding a specific sub-account, the Reseller must suspend or remediate the offending tenant within the mandated timeframe (12 hours for Tier-2 high risk; 24 hours for Tier-3 standard DMCA/complaints). Failure by the Reseller to take decisive action constitutes reseller negligence, resulting in master container suspension.
5. RESOURCE ALLOCATION, OVERSOLD LIMITS & FAIR USE
Reseller hosting packages are provisioned with defined aggregate disk storage, bandwidth, and discrete cPanel/control panel account allowances. To ensure hypervisor equilibrium across our multi-tenant nodes, Resellers must manage sub-allocations in conformance with the following standards:
| Resource Dimension | Operational Limit / Rule | Enforcement & Throttling Mechanism |
| Account Quota Allocation | Resellers may create standalone cPanel/DirectAdmin accounts up to the maximum account limit included in their purchased tier. | Control panel automatically halts further account creation when the plan limit is reached. Upgrades available. |
| Aggregated Disk Space Cap | Total disk consumption across all provisioned sub-accounts must not exceed the gross allocated NVMe storage pool. | Hard filesystem quota lock. Sub-accounts cannot write new files or database entries once the aggregate master pool is saturated. |
| Individual Sub-Account Resource Caps | Each individual sub-account is subject to standard CloudLinux / cgroups limits (100% of 1 CPU core, 1GB–2GB RAM, 30 concurrent MySQL connections, 250,000 inodes). | Automated kernel-level isolation prevents a single runaway sub-account from degrading other sub-accounts or the master node. |
| Prohibition on File Storage & Dump Repositories | Reseller packages may not be utilized as mass cloud file dumps, remote media streaming mirrors, CCTV archival repositories, or un-linked personal backup vaults. | Immediate file quarantine and administrative notification. Continued abuse results in storage suspension. |
6. BILLING, PAYMENT TERMS & INDEPENDENT SUBSCRIPTION SUSPENSION
Reseller accounts are billed as a single unified service instance in advance pursuant to Section 7 of the Alive Hoster Master Terms of Service:
- Independent Billing Cycle: The Reseller’s billing relationship with their downstream customers is completely independent of Alive Hoster. The failure of a downstream customer to pay the Reseller does not excuse, reduce, or delay the Reseller’s payment obligations to Alive Hoster;
- Master Account Suspension for Default: If a Reseller’s renewal invoice remains unpaid upon reaching the billing due date (Hour 0), the master reseller container is automatically suspended by our billing automation. This automated suspension immediately halts network access, public HTTP traffic, and email routing for ALL downstream sub-accounts hosted under that reseller profile;
- Data Destruction on Termination: If a defaulted Reseller invoice remains unsettled through the standard 24–72 hour suspension grace window and undergoes automated cancellation, all master reseller data and all associated downstream customer accounts, databases, and mailboxes are permanently and irreversibly destroyed from hypervisor pools. Alive Hoster disclaims all liability to the Reseller or their downstream clients for data wiped due to reseller invoice non-payment.
7. CANCELLATION & REFUND TERMS GOVERNED BY MASTER REFUND POLICY
All service cancellations, refund requests, eligibility windows, and financial settlements regarding Reseller Hosting packages are strictly governed by the Alive Hoster Master Refund & Cancellation Policy:
- Direct Policy Incorporation: Reseller Hosting accounts (including cPanel/WHM Reseller, DirectAdmin Reseller, Webuzo Reseller, and Plesk Reseller) are subject to the exact cancellation procedures, two-way refund mechanics (Payment Refund vs. Credit Refund), mathematical pro-rated formulas, gateway categories, and administrative fee structures set forth in the master policy;
- Pre-Activation vs. Post-Activation Rules: In accordance with the Master Refund Policy, if a Reseller cancellation is submitted prior to service provisioning/activation (Pending status), a 100% full refund of the Core Service Value is granted. Once provisioned and active, refund eligibility is strictly subject to the defined refund windows, minus the mandatory 5% Service Processing Fee and pro-rated active usage based on Monthly 25 Days or Annual 300 Days (with partial calendar days rounded up to full active days);
- Mandatory Support Ticket Requirement (No Automatic Refunds): Clicking cancellation within the Client Portal does not automatically issue a financial refund. To claim an eligible refund, the Reseller must formally submit an authenticated billing ticket via
portal.alivehoster.comwithin thirty (30) calendar days of cancellation. Failure to open a billing ticket within 30 days results in permanent, total forfeiture of refund rights; - Renewals, Downgrades & Gateway Rules: Recurring renewals are non-refundable (subject only to the 24-hour grace window for internal Credit Refund minus 5% fee). Downgrades are non-refundable. Category C (Cryptocurrency) payments receive 100% USD-pegged internal Account Balance Credit (zero on-chain payouts); Category D (Store Credit) receives re-credited account balance;
- Downstream Client Impact & Instant Data Wipe: When a Reseller requests immediate cancellation or is terminated under refund terms, all provisioned sub-accounts and downstream customer databases are immediately severed from the hypervisor. Resellers must download and migrate all client data prior to submitting a cancellation request;
- Abuse, Disputes & Chargeback Forfeiture: If a Reseller account, or any downstream sub-account hosted under it, is suspended for AUP violations, spamming/IP blacklisting, or initiates an unverified payment dispute/chargeback ($25.00 administrative fee applies), all refund eligibility is instantly and permanently forfeited.
8. RESELLER API AUTOMATION & INTEGRATION TERMS
Where Resellers utilize external billing automation systems (such as WHMCS, Blesta, ClientExec, or custom REST APIs) to interface with our provisioning servers, the Reseller agrees to the following programmatic standards:
- Credential Security: The Reseller is exclusively responsible for safeguarding their WHM/control panel API tokens, remote access hashes, and Client Portal API keys. Any automated account creation, package provisioning, or administrative action executed via valid API credentials is fully attributed to the Reseller;
- Rate Limiting & Polling Frequency: Automated API polling for account status, metrics, or usage statistics must not exceed one (1) request per second (60 requests/minute). Aggressive, un-throttled API loops that saturate control panel management daemons will trigger automated firewall rate-limiting and temporary IP blocks.
9. DOMAIN RESELLING & ICANN REGISTRAR PASS-THROUGH TERMS
Where Resellers utilize Alive Hoster domain reseller interfaces or sub-registrar APIs to register, renew, or transfer domain names on behalf of downstream customers, the Reseller agrees to comply fully with ICANN regulations:
- Accurate Registrant Data: The Reseller must ensure that genuine, accurate registrant contact details are submitted for each registered domain, or that legitimate privacy protection proxy services are utilized in compliance with ICANN Registrar Accreditation Agreements (RAA);
- ICANN Registrant Rights & Responsibilities: Resellers must publish or provide direct links to the ICANN Registrant Educational Materials and Registrant Rights and Responsibilities document to their downstream domain customers;
- Irrevocable Registry Disbursements: All domain registration, renewal, and transfer orders submitted by the Reseller via automated APIs or the portal are final, immediate, and non-refundable.
10. INDEMNIFICATION & LIMITATION OF LIABILITY
Broad Reseller Indemnification:
The Reseller agrees to defend, indemnify, and hold completely harmless ALIVES Co., Alive Hoster, its corporate directors, officers, infrastructure partners, and employees against any and all claims, lawsuits, liabilities, judgments, damages, losses, and legal expenses (including reasonable attorney fees) arising directly or indirectly from:
- Any claim, complaint, or legal action brought by a downstream customer or end-user of the Reseller;
- Any breach of our Acceptable Use & Abuse Policy, CAN-SPAM Act, or DMCA copyright laws committed by a sub-account under the Reseller’s management;
- Any loss of data, business disruption, or commercial damages suffered by an end-user resulting from hypervisor downtime, administrative suspension, or data wipeout due to reseller invoice default;
- Any misrepresentation, fraudulent claim, or unauthorized warranty made by the Reseller regarding Alive Hoster services.
11. POLICY AMENDMENTS AND REVISIONS
11.1 Right to Amend and Operational Discretion
ALIVES Co. (d/b/a Alive Hoster) reserves the right to amend, update, revise, or modify this Reseller Hosting Policy periodically at our sole operational discretion to reflect infrastructure enhancements, wholesale resource allocations, upstream registry terms, or statutory legal requirements.
11.2 Publication and Constructive Notice
Alive Hoster does not transmit individual personal notifications via electronic mail (email), SMS, or telephonic channels regarding routine policy revisions. Any modifications become legally effective immediately upon publication on this website, evidenced by the updated “Last Revised” date displayed at the top of this document. It remains the sole operational responsibility of the Reseller to review this Policy periodically.
11.3 Binding Acceptance Through Continued Use
Your continued access to, browsing of, or utilization of Alive Hoster websites, the Client Portal (portal.alivehoster.com), or provisioned reseller infrastructure following the posting of any revised Reseller Hosting Policy constitutes your binding and unconditional acceptance of the updated terms. If you do not agree with any modified provision, you must immediately discontinue all use of our services and, where applicable, submit an authenticated cancellation request through the Client Portal.
11.4 Archival and Historical Records
Prior versions of this Reseller Hosting Policy are preserved and archived internally for legal compliance, audit, and historical reference purposes.
